Specific consulting engagements will be governed by separate service agreements that detail the scope of work, deliverables, timelines, and fees. These Terms of Service apply to all interactions with darkpulseium and supplement any specific service agreements. In case of conflict between these Terms and a service agreement, the service agreement shall prevail for that specific engagement.
Fees for our consulting services will be specified in individual service agreements. Payment terms, methods, and schedules will be outlined in your specific engagement agreement. All fees are exclusive of applicable taxes, duties, and other governmental charges, which shall be your responsibility. Late payment may result in suspension of services and additional charges as specified in your service agreement.
The Service and its original content, features, and functionality are and will remain the exclusive property of darkpulseium Ltd and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Any strategies, recommendations, or materials developed specifically for your business during our consulting engagement will be provided to you for your use. However, darkpulseium retains the right to use general knowledge, methodologies, and non-confidential insights gained during the engagement for the benefit of other clients, provided no confidential client information is disclosed.
We understand that you may share confidential business information with us during our consulting relationship. We commit to maintaining the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law. This confidentiality obligation survives the termination of our business relationship.
To the fullest extent permitted by applicable law, darkpulseium Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to darkpulseium in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so the above limitations may not apply to you.

These Terms shall be interpreted and governed by the laws of Ireland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Ireland, and you hereby consent to personal jurisdiction and venue therein. The European Union's regulations, including GDPR, also apply where relevant.
In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good faith negotiations. If such negotiations are unsuccessful, the dispute may be resolved through mediation or arbitration as agreed upon by the parties, or through the appropriate courts in Ireland.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

These Terms, together with any specific service agreements and our Privacy Policy, constitute the sole and entire agreement between you and darkpulseium Ltd regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
